This Agreement is a legally binding contract between Kameryn Rose Therapy (“Company,” “Designer,” “we,” “us,” or “our”) and you, whether as a general website visitor, prospective client, or business purchasing services (“Client,” “you,” or “your”).

By browsing this website, submitting an inquiry, scheduling a consultation, or submitting a payment through Stripe, you agree to be bound by these Terms. If you do not agree, please do not use this website or purchase our services.

Please note that the “Practice Policies” linked on our website apply strictly and exclusively to mental health therapy clients. Those policies do not govern, and have no jurisdiction over, the business-to-business (B2B) web design, hosting, or professional consultation services outlined in this Agreement.

1. Website Usage and General Disclaimers

1.1 Emergency and Crisis

This website and its contact forms are for general inquiries and scheduling only and are not monitored continuously. This website is not intended for use in a crisis. If you are experiencing a mental health emergency or are in immediate danger, please do not use website contact forms. Please utilize your safety plan, access your support system, dial a hotline, go to the nearest emergency room, or contact local emergency services immediately.

1.2 No Therapist-Client Relationship

Use of this website, including sending an email via a contact form or booking a consultation, does not establish a therapist-client relationship. A formal therapeutic relationship is only established after completing an intake process and signing formal consent agreements through the secure client portal, Sessions Health.

1.3 Professional Advice

The information provided on this website is for informational and educational purposes only and does not constitute mental health treatment, medical advice, or psychological diagnosis. The content on this website is not a substitute for professional medical or mental health evaluation. Always seek the advice of a qualified healthcare provider with any questions regarding a medical or mental health condition.

1.4 Geographic Scope

Kameryn Rose Therapy provides telehealth therapy services strictly in accordance with California professional licensing laws. Clinical therapy services are only available to individuals who are physically located within the state of California at the time of their appointment.

1.5 Inquiries Regarding Minors

2. General Business & Payment Terms

2.1 Business-to-Business (B2B) Agreement

All services provided under this Agreement—including website design, hosting, and professional consultation—are strictly business-to-business arrangements. You represent and warrant that you are purchasing these services solely for professional, business, or practice purposes. You explicitly acknowledge and confirm that you are a professional peer and are not currently, nor have you recently been, a clinical therapy client of Kameryn Rose. Should a clinical conflict of interest arise, we reserve the right to terminate this Agreement and refund any unearned fees immediately.

2.2 Secure Stripe Payments

3.2 Scope

Designer will conceptualize, design, build, and manage a WordPress website for the Client. To maintain strict project timelines, Client will select a visual aesthetic from Designer’s pre-built Aesthetic Menu. Custom, from-scratch brand kit development is outside the scope of the standard package unless a “Custom Brand Sheet” is purchased.

Client is solely responsible for providing all copywriting, high-quality headshots, practice information, legal disclaimers, and external integration links (e.g., SimplePractice, IvyPay, Calendly). Designer reserves the right to replace generic or low-quality materials with notification to enhance website quality.

Clients are responsible for migrating their own historical blog articles post-launch unless the Blog Layout & Migration add-on is purchased. Designer will provide a complimentary 2-minute video tutorial on how to add and format blog posts.

3.3 Project Timeline

The standard turnaround time for website construction is 2 to 3 weeks. The construction timeline does not begin until the Client has provided 100% of the requested copy, text, images, and integration links. If the Client fails to provide the required content within 30 days of purchasing/initiating the project, the project will be placed on hold, and a $150 restart fee may be assessed to secure a new spot on the Designer’s production calendar.

3.4 Website Compensation and Payment Terms

A 50% non-refundable deposit is due upon checkout before design work begins. The remaining 50% balance is due immediately upon layout completion and approval, prior to the website going live to the public. Recurring monthly hosting and maintenance fees are billed automatically via your Stripe card on file, starting on the day the website goes live.

3.5 Revisions and Launch

Includes one (1) highly structured round of design and layout revisions before launch. Extra structural layout revisions are billed at $50 per round. Designer provides a 7-day grace period immediately following the live launch to fix minor text typos or broken links for free. This does not cover changing structural layouts, color schemes, or adding new sections. After 7 days, any edits transition to our standard hourly support rate of $75/hour (1-hour minimum).

3.6 Project Cancellation and Refunds

The initial 50% deposit is strictly non-refundable once design work has commenced. This fee secures your spot on our calendar and covers initial administrative setup, strategy, and creative drafting.

If you choose to cancel the project before the website goes live, you will not be billed for the remaining 50% balance. However, any drafted designs, brand sheets, or website layouts remain the exclusive intellectual property of the Designer and cannot be used, copied, or transferred to another provider.

Once the website is finalized, approved, and launched live under your domain, the remaining 50% balance is non-refundable.

3.7 Termination and Offboarding

Either party may terminate the monthly hosting and maintenance subscription with 30 days’ written notice. Because our technical ecosystem relies on proprietary software licenses owned by the Designer, if you choose to leave our hosting ecosystem, you will need to purchase your own secure cloud hosting and software licenses.

Upon termination and payment of outstanding balances, Designer will provide Client with a standard WordPress XML export file containing the website’s raw text and media files. Designer will not perform migration services, server transfers, or layout troubleshooting on your new hosting provider. All proprietary licenses managed by the Designer will be deactivated on the date of departure.

4. Professional Consultation Services

This Section applies exclusively to Clients booking professional consultation sessions for practice strategy, workflow design, case consultation, or other topics within the scope of ethical psychotherapy and business management.

4.1 Professional Consulting Disclaimer

Consultation services are strictly for professional business advisory, marketing strategy, and web development planning. They do not constitute clinical therapy, psychological treatment, medical advice, mental health supervision, or a therapist-client relationship.

Any business decisions, technical tools adopted, or changes to your professional practice made during or after these sessions are solely your responsibility.

4.2 Add-On Services

Consultation sessions are collaborative and advisory in nature. If, during or following a consultation session, you request custom implementation—such as the creation of custom intake workflows, system automation setup, tailored documentation templates, or custom technical builds outside of scheduled session hours—such work is considered outside the standard consultation scope and will be billed at our standard rate of $75/hour (or quoted as a separate flat-rate add-on) prior to execution.

4.3 Scheduling, Attendance, and Cancellations

Consultation fees must be paid in full via Stripe at the time of booking to secure your appointment time. If you need to reschedule, you must provide at least 24 hours’ notice before your scheduled appointment time. Cancellations or reschedules made with less than 24 hours’ notice, or missed appointments (no-shows), are non-refundable, and you will forfeit the session fee.

5. Intellectual Property and Design Attribution

5.1 Client Rights

Client retains all copyrights and intellectual property rights to all original text, practice information, branding, logos, photographs, and media files provided to the Designer.

5.2 Consultation Licensing

All proprietary systems, consulting templates, practice workflow designs, strategy blueprints, and educational materials created, shared, or developed by the Consultant during advisory sessions remain the sole intellectual property of the Company.

  • License to Use: Client is granted a individual, non-exclusive, non-transferable license to use these frameworks and process designs strictly for internal use within their own professional practice.

  • Restrictions: Client may not resell, distribute, publish, or share these proprietary consulting frameworks or process designs with third parties or other practices without prior written consent.

5.3 Website Licensing

Designer retains all rights to the underlying design layouts and templates created within the site. Client is granted a non-exclusive license to use the design layout only while hosted within the Designer’s ecosystem. Designer provides a license for use outside of the Designer’s ecosystem for branding materials created for Client.

5.4 Footer Attribution

Client agrees that a small, text-based link reading “Site designed by Kameryn “Yams” Rose” will remain in the footer of the live website.

6. Compliance

6.1 General Limitation of Liability

To the maximum extent permitted by law, Kameryn Rose Therapy is not liable for any indirect, incidental, special, or consequential damages, including but not limited to lost business revenue, profit, data, or practice disruptions resulting from:

  • Temporary website server downtime, internet outages, or hosting glitches.

  • Third-party software vulnerabilities, malware, or hacking incidents.

  • Client’s reliance on or implementation of professional consulting advice, strategy, or process designs.

6.2 HIPAA and Client Privacy

While Designer utilizes secure cloud hosting and industry-standard security plugins, WordPress websites are inherently public-facing marketing tools. Client agrees never to store Protected Health Information (PHI), medical records, clinical case notes, or confidential client intake records on the website server. Designer is not liable for data breaches resulting from Client misuse or third-party vulnerabilities.

6.3 Legal Compliance

Client assumes sole responsibility for ensuring their website and business practices comply with all local, state, federal, and international laws, including but not limited to HIPAA marketing restrictions, the No Surprises Act/Good Faith Estimate disclosures, state board licensing requirements, privacy mandates (e.g., CalOPPA, CCPA, GDPR), and ADA accessibility guidelines.

Designer is a technical and visual service provider and does not provide legal or regulatory advice. It is the Client’s sole responsibility to procure, review, and publish a legally compliant Privacy Policy and Terms of Service on their live website.
